For most companies, a flotation or corporate finance transaction is not a common event. Nor should it be treated as such. To get the most from your transactions you will benefit from working with legal advisers who are specialists in PLC issues but who also understand your long-term objectives and provide appropriately tailored advice.
Our corporate finance practice has developed through building relationships with our clients, and serving their needs as businesses grow. More often than not we act for clients from the early stages and guide them through the cycles of growth. As a result we can assist you with preparing your business for an IPO, guiding you through the flotation process, as well as helping you to raise further funds through share placings and other types of securities offerings. We can also advise you on subsequent transactions such as mergers and acquisitions, which may require further public disclosures by the company, and ongoing public company compliance.
You will receive full service corporate finance advice from lawyers who understand your business and regularly work with accountants and other corporate finance advisers to companies on the UK public markets.
We can provide you with commercial advice on:
- Flotations
- Secondary fundraisings
- Transactions for public companies
- Reverse takeovers
- Public company takeovers
- Compliance with AIM Rules
- Corporate governance
- Off-market fundraisings
- Enterprise Investment Scheme (EIS) and Seed Enterprise Investment (SEIS) fundraisings
- Employment matters including executive remuneration
- Reputation management
- Litigation and dispute resolution.
